1. Acceptance of Terms

Welcome to Tiny Home Sherpa (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the website located at tinyhomesherpa.com (the “Site”), including any content, functionality, products, and services offered on or through the Site.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

Tiny Home Sherpa operates a United States–only online directory platform that connects individuals seeking to buy or rent tiny homes (“Buyers/Renters”) with builders and owners of tiny homes (“Builders/Owners”). The Site allows users to browse listings, create accounts, claim business listings, submit content, and communicate with other users.

The Service is provided solely for use within the United States. We make no representation that the Site or its content is appropriate or available for use outside the United States. Access to the Site from territories where its content is illegal is prohibited.

The Service is offered free of charge for claiming listings. We do not charge fees for the submission or maintenance of listings at this time. We reserve the right to introduce fees or modify pricing in the future, with notice provided in accordance with Section 19 of these Terms.

3. Eligibility

By using the Site, you represent and warrant that:

  1. You are at least eighteen (18) years of age or the age of majority in your state of residence, whichever is greater;
  2. You are located within the United States of America (including its territories and possessions);
  3. You have the legal capacity to enter into a binding contract;
  4. You are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a “terrorist-supporting” country; and
  5. You are not listed on any U.S. government list of prohibited or restricted parties.

Use of the Site by anyone under eighteen (18) years of age, or by anyone located outside the United States, is strictly prohibited. If we discover that a user does not meet these eligibility requirements, we will terminate their account and access to the Site immediately.

4. Account Registration & Security

To access certain features of the Site, including claiming a listing or submitting content, you may be required to create an account. When you create an account, you agree to:

  1. Provide accurate, current, and complete registration information (“Account Information”);
  2. Maintain and promptly update your Account Information to ensure it remains accurate, current, and complete;
  3. Maintain the confidentiality of your login credentials and password;
  4. Notify us immediately of any unauthorized use of your account or any other breach of security; and
  5. Accept full responsibility for all activities that occur under your account.

You are solely responsible for safeguarding your password and for any use or misuse of your account resulting from your failure to maintain confidentiality. We will not be liable for any loss or damage arising from your failure to comply with this Section.

We reserve the right to refuse registration, suspend accounts, or cancel registrations at our sole discretion.

5. Listings & Content

5.1 Accuracy of Listings

Listings on the Site are submitted by Builders/Owners and other third parties. While we strive to maintain accurate information, we do not independently verify the accuracy, completeness, or reliability of any listing, including but not limited to descriptions, pricing, availability, specifications, photographs, or location data. All listings are provided for informational purposes only and do not constitute an endorsement or recommendation by us.

5.2 Ownership of Submitted Content

You retain all ownership rights in any content, text, images, photographs, videos, descriptions, documents, or other materials you submit, post, or display on or through the Site (“User Content”). However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display your User Content on or through the Site and in our marketing and promotional materials, subject to applicable privacy laws.

5.3 User Content Representations and Warranties

You represent and warrant that: (a) you own or have the necessary licenses, rights, consents, and permissions to submit your User Content; (b) your User Content does not infringe the copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right of any third party; and (c) your User Content complies with these Terms and all applicable laws.

5.4 Content Moderation

We reserve the right, but have no obligation, to monitor, review, modify, or remove any User Content at any time, for any reason, without prior notice. We are not responsible for any User Content posted by users of the Site.

6. Claims & Verification Process

6.1 Listing Claims

Tiny Home Sherpa allows authorized representatives of businesses to claim ownership of existing listings on the Site. The claim process is designed to verify that the claimant is legitimately affiliated with the listed business.

6.2 Information Collected During Claim

When submitting a claim, you must provide the following information:

  1. Your full legal name;
  2. Your email address;
  3. Your telephone number; and
  4. Business verification documents, which may include but are not limited to: business license, certificate of formation, articles of incorporation, tax identification documents, utility bills in the business name, or other documentation reasonably requested by us to verify your authority to represent the business.

6.3 Verification Process

Upon receipt of a claim submission, we will review the provided information and documentation. We reserve the right to:

  1. Request additional documentation or information at any time during the verification process;
  2. Contact you or the listed business through any available means to verify the claim;
  3. Accept or reject any claim in our sole and absolute discretion; and
  4. Remove a listing or transfer control of a listing to another party if conflicting claims arise.

6.4 No Guarantee of Claim Approval

Submission of a claim does not guarantee approval. We are under no obligation to verify or approve any claim, and we accept no liability for any claims that are rejected, delayed, or not processed.

6.5 Claimed Listing Responsibilities

Once a claim is approved, you are responsible for maintaining the accuracy and completeness of the listing information. You agree to promptly update any information that changes and to respond to user inquiries in a timely manner.

7. Marketing Communications & Opt-Out

7.1 Communications Consent

By creating an account, claiming a listing, or otherwise providing your contact information to us, you expressly consent to receive commercial and promotional communications from us, including but not limited to emails, newsletters, and other marketing materials related to our services, partner offerings, and industry updates (“Marketing Communications”).

7.2 Opt-Out Right (CAN-SPAM Compliance)

You may opt out of receiving Marketing Communications at any time by:

  1. Clicking the “unsubscribe” or “opt-out” link contained in any Marketing Communication email; or
  2. Contacting us directly at the email address provided in Section 20 of these Terms.

Upon receipt of your opt-out request, we will process it within ten (10) business days. Please note that even after opting out of Marketing Communications, you may continue to receive transactional or administrative messages related to your account, claims, or use of the Service (e.g., account verification, claim status updates, password resets, and legal notices).

7.3 Third-Party CRM

We use third-party customer relationship management (“CRM”) tools to manage leads, communications, and marketing activities. By providing your information, you acknowledge and agree that your information may be processed and stored through our CRM providers, subject to our Privacy Policy.

8. Prohibited Uses

You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:

  1. Submitting false, misleading, or fraudulent information, including in listings, claims, or account registration;
  2. Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
  3. Accessing or attempting to access another user’s account without authorization;
  4. Interfering with or disrupting the operation of the Site, servers, or networks connected to the Site;
  5. Using any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission;
  6. Introducing any viruses, worms, trojan horses, logic bombs, or other malicious code into the Site;
  7. Engaging in any activity that could damage, disable, overburden, or impair the Site;
  8. Using the Site to send unsolicited commercial communications (spam);
  9. Collecting or harvesting any personally identifiable information from the Site without our consent;
  10. Violating any applicable federal, state, local, or international law or regulation;
  11. Posting or transmitting any content that is defamatory, obscene, pornographic, vulgar, offensive, discriminatory, or otherwise objectionable;
  12. Attempting to decompile, reverse engineer, disassemble, or derive the source code of the Site; and
  13. Encouraging or assisting any other person in any of the foregoing prohibited activities.

9. Intellectual Property Rights

9.1 Site Content

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and look and feel) are owned by Tiny Home Sherpa, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.2 Trademarks

The Tiny Home Sherpa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tiny Home Sherpa or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

9.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site, except as necessary to use the Site in accordance with these Terms.

10. Third-Party Links & Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by us. We provide these links for your convenience only and do not endorse or assume any responsibility for the content, privacy practices, or terms of use of any third-party website or service.

We are not responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of any third-party website or service. Your use of third-party websites and services is subject to the terms and conditions and privacy policies of those third parties.

Specifically, we use third-party CRM providers for lead management and communications. Your information shared with these providers is subject to their respective privacy policies and terms of service.

11. Disclaimers

THE SITE AND ALL CONTENT, SERVICES, AND FEATURES AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TINY HOME SHERPA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT; (B) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; AND (C) WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY LISTINGS, USER CONTENT, OR OTHER INFORMATION ON THE SITE. WE ARE A PASSIVE DIRECTORY PLATFORM AND ARE NOT A PARTY TO ANY TRANSACTION BETWEEN BUYERS/RENTERS AND BUILDERS/OWNERS. WE HAVE NO CONTROL OVER AND DO NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF ANY LISTED PROPERTY OR SERVICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TINY HOME SHERPA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  1. Your access to or use of, or inability to access or use, the Site;
  2. Any conduct or content of any third party on the Site, including but not limited to any defamatory, offensive, or illegal conduct of other users;
  3. Any transaction or interaction between users of the Site;
  4. Any claim that is approved, rejected, delayed, or not processed;
  5. Any unauthorized access to or use of our servers and/or any personal information stored therein;
  6. Any interruption or cessation of transmission to or from the Site;
  7. Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Site; and
  8. Any errors, omissions, or inaccuracies in any content on the Site.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE AMOUNT YOU HAVE PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY (A) REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE; (B) EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (C) EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Tiny Home Sherpa, its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your use of or access to the Site;
  2. Your violation of these Terms;
  3. Your User Content, including any claims that your User Content infringes or violates the rights of any third party;
  4. Your violation of any applicable law or regulation; and
  5. Any activity occurring under your account, whether by you or any other person using your account.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

14. Termination & Suspension

14.1 Termination by Us

We reserve the right, in our sole discretion, to terminate or suspend your account and/or access to the Site at any time, without prior notice or liability, for any reason, including but not limited to:

  1. Your breach of any provision of these Terms;
  2. Your conduct that we believe is harmful to the Site, other users, or third parties;
  3. Fraudulent, abusive, or otherwise illegal activity; or
  4. Extended inactivity on your account.

14.2 Termination by You

You may terminate your account at any time by discontinuing use of the Site and, if applicable, contacting us to request account deletion.

14.3 Effect of Termination

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, governing law and dispute resolution provisions, and the license grant in Section 5.2.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

15.2 Informal Dispute Resolution

Before initiating any arbitration or court proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site (“Dispute”) informally by contacting us at the email address provided in Section 20. We will attempt to resolve the Dispute within sixty (60) days of receiving your notice. Both parties agree to negotiate in good faith to resolve the Dispute. This informal dispute resolution process is a condition precedent to initiating any arbitration or litigation.

15.3 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND PROVIDES FOR BINDING ARBITRATION OF DISPUTES. YOU AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND TINY HOME SHERPA ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Except for disputes that qualify for small claims court, any Dispute arising out of or relating to these Terms or the Site shall be resolved exclusively by binding, confidential arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, if applicable, its Commercial Arbitration Rules) in effect at the time the arbitration is initiated. The arbitration shall be conducted in the English language in Wilmington, Delaware, unless the parties agree to conduct the arbitration by telephone, video conference, or solely on written submissions.

The arbitrator’s decision shall be final and binding and may be entered in any court having jurisdiction. Each party shall bear its own attorneys’ fees and costs, provided that the arbitrator may award reasonable attorneys’ fees and costs to the prevailing party. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15.4 Class Action Waiver

YOU AND TINY HOME SHERPA AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON OR PARTY AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. If this specific provision is found to be unenforceable, then the entirety of this dispute resolution section (Section 15) shall be null and void.

15.5 Severability of Dispute Resolution Provisions

If any portion of this Section 15 is found to be illegal or unenforceable, that portion shall be severed, and the remainder of this Section 15 shall be given full force and effect. If the class action waiver in Section 15.4 is found to be unenforceable, then the entirety of this Section 15 shall be null and void.

16. DMCA Copyright Compliance

Tiny Home Sherpa respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”), we will respond expeditiously to claims of copyright infringement committed using the Site.

16.1 Notice of Infringement

If you believe that any content available on or through the Site infringes upon a copyright that you own or control, you may submit a written notification of claimed infringement (“DMCA Notice”) to our Designated Copyright Agent. Your DMCA Notice must include substantially the following information:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g., the URL of the page containing the material);
  4. Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an email address;
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

16.3 Counter-Notification

If you believe that material you submitted was removed or disabled as a result of a mistake or misidentification, you may submit a written counter-notification to our Designated Copyright Agent. The counter-notification must include:

  1. Your physical or electronic signature;
  2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access was disabled;
  3. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;
  4. Your name, address, telephone number, and email address; and
  5. A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, the United States District Court for the District of Delaware), and that you will accept service of process from the person who provided the original DMCA Notice or their agent.

16.4 Repeat Infringers

It is our policy, in appropriate circumstances and in our sole discretion, to terminate the accounts of users who are repeat infringers of copyright.

17. Entire Agreement

These Terms, together with our Privacy Policy (which is incorporated herein by reference), constitute the entire and exclusive agreement between you and Tiny Home Sherpa regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter.

No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom it is sought to be enforced. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18. Severability

If any provision or part of a provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified or severed to the minimum extent necessary to make it enforceable, and the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The remaining provisions of these Terms shall continue in full force and effect.

19. Changes to Terms

We reserve the right, in our sole discretion, to modify, update, or replace these Terms at any time. When changes are made, we will update the “Last Updated” date at the top of these Terms. We will notify you of material changes by posting a prominent notice on the Site, sending an email to the email address associated with your account (if applicable), or both.

Changes to these Terms are effective immediately upon posting, unless otherwise stated. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site and, if applicable, terminate your account.

We encourage you to review these Terms periodically to stay informed of any updates.
